Offer Details & Eligibility.  This offer is made by Grubhub Holdings Inc. (“Grubhub”) to select eligible recipients of a communication from Grubhub that includes an embedded link (“Link”) to Indeed’s website or mobile application (“Recipient”). To be eligible for the Offer (defined below), Recipient must be (1) an independent restaurant (i.e., not part of a corporate chain or franchise); (2) a new Grubhub restaurant partner (includes Seamless and all affiliated Grubhub brands) or an existing Grubhub restaurant partner reactivating a paused account; (3) a serviceable brick and mortar location (virtual restaurants/concepts and commissary kitchens do not qualify); and (4) located in New York City, NY; Chicago, IL; Boston, MA; or Philadelphia, PA and surrounding areas (collectively, the “Core Markets”). Additionally, Recipients who are in active discussions with Grubhub sales representative(s) regarding a potential partnership are not eligible. Eligibility determinations will be made by Grubhub in its sole discretion. Recipients will receive an email approximately one (1) week after entering into an agreement with Grubhub or reactivating an existing account, which email will include the Link that Recipient can use to access a maximum of three-hundred dollars ($300) in Indeed credit (“Grubhub-Funded Credit”) that Recipient may redeem on Indeed’s website or mobile application by posting one or more Indeed Sponsored Jobs (as described in Indeed’s General Terms of Service), and applying available Grubhub-Funded Credit to Recipient’s check-out total (the “Offer”).  Recipient must use the Link to create an account with Indeed, or access an existing Indeed account, on or before March 31, 2022, or thereafter should the Offer acceptance window be extended by Grubhub in its sole discretion.

Offer Is Limited & Non-Transferable.  The Offer is non-transferrable and may only be redeemed by Recipient.  No other Grubhub restaurant partner or third party is eligible to redeem the Offer, unless expressly permitted by Grubhub.  Recipient shall not distribute or commercialize the Offer through any third party website, application, or via any other communication or medium.  Any violation of the foregoing will subject Recipient to Grubhub’s Remedies, set forth below, which may include without limitation, revocation of the Grubhub-Funded Credit or termination of Recipient’s agreement with Grubhub.  With respect to multi-location restaurants, the Offer is valid for one (1) Indeed account creation (or sign-on to an existing Indeed account) using the Link, per multi-location restaurant. Grubhub-Funded Credit may not be returned or redeemed for cash.

Expiration of Grubhub-Funded Credit.  All Grubhub-Funded Credit will expire on December 31, 2022.  The full $300 value of the Grubhub-Funded Credit must be redeemed on or before that date; any unused Grubhub Funded Credit existing in Recipient’s Indeed account as of 12 a.m. on January 1, 2023 shall be null and void, and removed from Recipient’s Indeed account.

Access to Indeed.com.  Recipient will be required to use the Link to create an account on Indeed, or access an existing Indeed account.  Recipient’s access to, and use of, Indeed’s products and services (including Grubhub-Funded Credits) is governed by Indeed’s General Terms of Service, and other terms and conditions, as Indeed may require in its sole discretion.  Grubhub shall not be liable to Recipient or any third party for any reason arising from, or related to, Indeed’s products or services, or Recipient’s Indeed account.

Grubhub’s Remedies.  Grubhub reserves the right to cancel, suspend and/or modify the Offer, or any part of it, if any fraud, technical failures or any other factor beyond Grubhub’s reasonable control impairs the integrity or proper functioning of the Offer, as determined by Grubhub in its sole discretion. Grubhub reserves the right, in its sole discretion, to take action against Recipient should Grubhub determine that Recipient has tampered with the operation of the Offer or has violated the Terms & Conditions.  Recipients who violate these Terms & Conditions, may be inhibited from participating in any future offer, or from using Grubhub’s services altogether, in Grubhub’s sole discretion. Any attempt by any person to deliberately undermine the legitimate operation of the Offer may be a violation of criminal and civil law, and, should such an attempt be made, Grubhub reserves the right to seek damages from any such person to the fullest extent permitted by law.

Waiver.  Grubhub’s failure to enforce any term of these Terms & Conditions shall not constitute a waiver of that provision.
