Refer a Restaurant Program  – Full Terms

Offer Eligibility.  This offer is made to intended recipients only, and no other Grubhub restaurant partner or third party is eligible for this offer.

Referral Eligibility.  This offer is valid for up to ten (10) eligible referrals submitted by you on or before December 31, 2021.  To be eligible for the offer, each referral must be: 

(1) Located in New York City, NY; Chicago, IL; Boston, MA; or Philadelphia, PA and surrounding areas (collectively, the “Core Markets”); 

(2) New to Grubhub (includes Seamless and all affiliated brands), as determined by Grubhub in its sole discretion; 

(3) Independent (e.g., not part of a corporate chain or franchise) and located at a different address from your restaurant; 

(4) A serviceable brick and mortar location (virtual restaurants/concepts and commissary kitchens do not qualify); 

(5) “Live” on the Grubhub platform (i.e. the referral must be accepting and fulfilling orders) within sixty (60) days of signup; and 

(6) Must not have been previously referred to Grubhub and may not be in active discussions with Grubhub sales representative(s) regarding a potential partnership. 

With respect to multi-unit restaurant groups, this offer is only valid for the first 10 restaurant locations referred. For U.S. restaurants referred outside of the Core Markets who meet criteria (2) – (6) above, the referrer will be eligible for a $50 statement credit subject to these terms. Grubhub reserves the right to determine, in its sole discretion, whether, how and when to onboard a referred restaurant, and whether a referred restaurant satisfies the foregoing eligibility criteria.

Redeeming the Offer.  To participate, you must provide your custom Grubhub referral link and code to an authorized representative of an eligible referral restaurant. The referral restaurant must (1) meet the referral eligibility criteria described above, (2) complete the form available at the link provided in the email containing your custom referral link and enter the referral code assigned to you, and (3) sign up for Grubhub. You will receive a statement credit of $500 for each eligible referral (except as set forth above with respect to restaurants referred outside of the Core Markets), up to a maximum statement credit of $5,000 or 10 eligible referrals. Statement credits will appear within 60 days of the date the referral goes live on the Grubhub platform and may be revoked in the event Grubhub determines that you or the referral have engaged in fraud or activity that violates these Official Rules or any agreement(s) between you and Grubhub, or in the event your account is terminated for any reason. 

Prohibited Use.  You are not permitted to distribute or commercialize this offer through any third party site. Any violation of this prohibited use will subject you to Grubhub’s remedies, including without limitation, terminating your restaurant agreement with Grubhub. 

Remedies.  Grubhub reserves the right to cancel, suspend and/or modify the offer, or any part of it, if any fraud, technical failures or any other factor beyond Grubhub’s reasonable control impairs the integrity or proper functioning of the offer, as determined by Grubhub in its sole discretion. Grubhub reserves the right, in its sole discretion, to take action against any individual or restaurant it finds to be tampering with the operation of the offer or to be acting in violation of these Official Rules or any other promotion. Restaurants who engage in any Prohibited Use or otherwise violate these Official Rules, may be inhibited from participating in any future offer, or from using Grubhub’s services altogether, in Grubhub’s sole discretion. Any attempt by any person to deliberately undermine the legitimate operation of the offer may be a violation of criminal and civil law, and, should such an attempt be made, Grubhub reserves the right to seek damages from any such person to the fullest extent permitted by law.

Waiver.  Grubhub’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
